Terms of Service

1. Acceptance of Terms
By accessing or using the Nexim platform, desktop application, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including organisations and their authorised personnel.
2. Service Description
Nexim provides an enterprise trade compliance platform that includes HS code classification, customs valuation, FTA optimisation, restriction screening, document management, and related features. The Service is offered as a desktop application with optional cloud synchronisation. Nexim is a decision-support tool and does not replace professional customs advice or legal counsel.
3. Account and Access
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised use. Nexim reserves the right to suspend or terminate accounts that violate these terms. Organisation administrators are responsible for managing user access within their organisation.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with applicable trade compliance regulations. You may not: (a) use the Service to circumvent any trade laws or sanctions; (b) reverse engineer, decompile, or disassemble the software; (c) share, sublicense, or redistribute the software without written authorisation; (d) attempt to gain unauthorised access to any systems or data.
5. Data Ownership
You retain ownership of all data you input into the Service, including shipment records, documents, and classification data. Nexim does not claim ownership of your data. When cloud sync is enabled, your data is transmitted securely and stored in accordance with our Privacy Policy. You may export or delete your data at any time.
6. AI and Classification Accuracy
Nexim uses artificial intelligence to assist with HS classification, valuation, and compliance analysis. AI-generated outputs are recommendations and should be reviewed by qualified personnel before use in official declarations. Nexim does not guarantee the accuracy of AI classifications and is not liable for decisions made based on AI recommendations.
7. Subscription and Billing
Access to certain features may require a paid subscription. Pricing, billing cycles, and payment terms will be communicated at the time of purchase. Nexim reserves the right to modify pricing with 30 days' notice. Refund requests are evaluated on a case-by-case basis.
8. Intellectual Property
The Service, including its software, design, documentation, and branding, is the property of Nexim and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
9. Limitation of Liability
To the maximum extent permitted by law, Nexim shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to customs penalties, fines, or losses resulting from incorrect classifications or compliance decisions.
10. Indemnification
You agree to indemnify and hold harmless Nexim, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.
11. Service Availability
Nexim aims to provide reliable service but does not guarantee uninterrupted access. The desktop application includes offline functionality. Cloud features are subject to availability. We may perform maintenance with reasonable notice when possible.
12. Modifications to Terms
Nexim may update these terms from time to time. Material changes will be communicated via the application or email. Continued use of the Service after changes constitutes acceptance of the updated terms.
13. Termination
Either party may terminate the agreement at any time. Upon termination, your right to use the Service ceases. You may export your data before termination. Nexim may retain anonymised and aggregated data for analytical purposes.
14. Governing Law
These terms are governed by the laws of the Republic of Singapore. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
